Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VendingPing platform, website, and services (collectively, the "Service") operated by SpanMerge ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
VendingPing is an AI-powered sales agent platform that enables vendors to automate customer interactions on messaging channels including WhatsApp, Instagram, Telegram, and Facebook Messenger. The Service includes:
- AI sales agents trained on your product catalog and business context
- Automated customer messaging, follow-ups, and re-engagement broadcasts
- Product catalog management
- Order tracking and customer relationship management
- Analytics and business insights dashboard
- Multi-channel integration (WhatsApp Business API, Instagram API, Telegram Bot API)
2. Account Registration and Responsibilities
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are registering on behalf of a business, you represent that you have authority to bind that business.
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately at hello@vendingping.com if you suspect unauthorised access
2.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep it updated. We reserve the right to suspend or terminate accounts with materially inaccurate information.
3. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited messages, or bulk messages to people who have not opted in
- Sell illegal goods or services, including but not limited to controlled substances, counterfeit products, weapons, or stolen property
- Engage in fraud, phishing, impersonation, or deceptive practices
- Violate WhatsApp's, Instagram's, or Telegram's terms of service or acceptable use policies
- Harass, threaten, or abuse customers or other users
- Distribute malware, viruses, or any harmful code
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Resell, sublicense, or share your account access with third parties without authorisation
- Circumvent usage limits, rate limits, or conversation quotas
We reserve the right to suspend or terminate your account immediately if you violate these terms, without prior notice and without refund.
4. Payment Terms
4.1 Subscription Plans
VendingPing offers four subscription tiers: Solo (₦49,900/month), Growth (₦120,000/month), Pro (₦250,000/month), and Premium (₦500,000/month). Prices are in Nigerian Naira (NGN). International users may be billed in USD at current exchange rates.
4.2 Free Trial
New accounts on Solo, Growth, and Pro plans receive a 7-day free trial with up to 50 conversations. No credit card is required to start. At the end of the trial, you must subscribe to continue using the Service. There are no automatic charges — you must actively choose a plan.
4.3 Billing
Subscription payments are processed securely through Paystack. You may pay monthly, annually (20% discount), or weekly (available on all plans). Payments are non-refundable except as required by law or stated in our refund policy.
4.4 Plan Changes
You may upgrade or downgrade your plan at any time from your dashboard. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of your next billing cycle.
4.5 Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If all attempts fail, your account will be suspended until payment is received. Your data will be retained for 30 days after suspension, after which it may be deleted.
5. Service Level Agreement (SLA)
- Uptime target: We target 99.5% uptime for the VendingPing platform, measured monthly. This excludes scheduled maintenance (announced 48 hours in advance) and force majeure events.
- Response time: AI agent responses to customer messages are typically delivered within 3–10 seconds.
- Support SLA: Email support responds within 24 hours (business days). Priority support (Growth and above) responds within 4 hours. Premium accounts receive a dedicated account manager.
- Scheduled maintenance: Routine maintenance windows are between 02:00–05:00 WAT (West Africa Time) on Sundays.
6. Intellectual Property
6.1 Our IP
The VendingPing platform, including its software, AI models, algorithms, design, branding, documentation, and all related intellectual property, is owned by SpanMerge. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as a subscriber.
6.2 Your Content
You retain ownership of all content you provide — including product information, images, business data, and any content you upload. By using the Service, you grant us a non-exclusive, worldwide licence to use, process, and display your content solely for the purpose of delivering the Service.
6.3 AI-Generated Content
Responses generated by the AI agent on your behalf are considered your content. You are responsible for the accuracy and appropriateness of all messages sent to your customers through the Service, including AI-generated messages.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- VendingPing is provided "as is" and "as available" without warranties of any kind, express or implied.
- We do not guarantee that the AI agent will be error-free, that all customer messages will be answered correctly, or that the Service will result in any particular level of sales.
- Our total liability to you for any claims arising from your use of the Service shall not exceed the total amount you paid to us in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- We are not liable for actions taken by third-party platforms (Meta, Telegram, Paystack) including account suspensions, policy changes, or service outages on those platforms.
8. Indemnification
You agree to indemnify and hold harmless SpanMerge, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms, your use of the Service, or any content you provide through the Service.
9. Termination
9.1 By You
You may cancel your subscription at any time from your dashboard. Your account remains active until the end of your current billing period. You may also request complete account and data deletion by emailing hello@vendingping.com.
9.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay subscription fees after the grace period
- Use the Service in a way that harms other users or our infrastructure
- Are required to be removed by a legal or regulatory order
9.3 Effect of Termination
Upon termination, your access to the Service is immediately revoked. We will retain your data for 30 days to allow for data export requests, after which it will be permanently deleted. Data retention for legal and financial compliance purposes (e.g. payment records) will continue as described in our Privacy Policy.
10. Data Protection
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
11. Third-Party Services
The Service integrates with third-party platforms (WhatsApp, Instagram, Telegram, Paystack). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, performance, or policies of third-party services.
12. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide at least 30 days' notice before discontinuing core features. We may update pricing with 60 days' notice — existing subscribers will be grandfathered at their current rate for at least 6 months after any price increase.
13. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and/or a prominent notice on the Service at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Dispute Resolution
In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation before an independent mediator in Lagos, Nigeria. If mediation fails within 60 days, either party may pursue resolution in the courts.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings shall be brought exclusively in the courts of Lagos State, Nigeria.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpanMerge regarding the use of VendingPing and supersede all prior agreements and understandings.
